These Quotation & Supply Terms apply to quotations, purchase orders and supplies made by AGL Medicals unless different terms are expressly agreed in writing.
All quotations are valid only for the period stated on the quotation.
Prices may be subject to product availability, manufacturer or supplier pricing, foreign exchange movements, freight, taxes, import or regulatory charges and other disclosed costs.
After the validity period expires, AGL Medicals reserves the right to issue a revised quotation.
A quotation does not constitute confirmation of stock reservation unless expressly stated.
Customers are responsible for confirming that the product description, brand, model, size, quantity, packaging and other specifications stated in the quotation meet their requirements before approving an order.
Where a particular brand or manufacturer is specified, AGL Medicals will not substitute another product without the customer's agreement.
Where the customer has requested a generic specification rather than a particular brand, AGL Medicals may propose an equivalent product meeting the agreed specification, subject to customer approval where appropriate.
Product photographs are illustrative unless expressly incorporated into the agreed specification.
Where a product is subject to regulatory registration, authorisation, import controls or applicable standards, supply is subject to the requirements of the appropriate regulatory authority.
AGL Medicals may verify relevant information including manufacturer, product registration, batch or lot details, expiry date, country of origin and applicable product documentation.
AGL Medicals will not knowingly supply expired, falsified, materially mislabelled or unlawfully placed regulated medical products.
An order is considered accepted only after AGL Medicals confirms acceptance in writing and any required deposit or payment has been received.
A customer's purchase order does not automatically bind AGL Medicals to terms inconsistent with the quotation unless those terms are expressly accepted in writing.
Large-volume, customised, imported or specially sourced orders may require additional written supply terms.
Payment requirements and milestones will be stated on the quotation or invoice.
Depending on the transaction, AGL Medicals may require:
full payment before procurement;
an agreed deposit with the balance payable before delivery;
milestone payments; or
approved credit terms for eligible institutional customers.
Procurement or stock reservation may not commence until the required payment has cleared.
All payments must be made only to an account officially designated by Accelerators Global Ltd.
Customers should verify any unexpected request to change payment details before transferring funds.
Products are subject to availability.
For specially sourced products, AGL Medicals may commence procurement after order confirmation and receipt of the required payment.
Where a product becomes unavailable after an order has been accepted, AGL Medicals will inform the customer and may offer:
an approved equivalent;
an alternative delivery schedule; or
an appropriate refund or adjustment for the affected item, subject to applicable law and any unavoidable third-party commitments.
No substitution will be made contrary to an expressly agreed product specification without customer approval.
Estimated delivery timelines will be stated where reasonably possible.
Delivery dates are estimates unless expressly guaranteed in writing.
Delivery may be affected by manufacturers, suppliers, customs, regulatory processes, logistics providers, transport disruption or other circumstances outside AGL Medicals' reasonable control.
AGL Medicals will communicate material delays where reasonably practicable.
Delivery charges and delivery location will be stated or agreed separately where applicable.
Customers should inspect products promptly upon delivery.
Inspection should include, where applicable:
quantity;
product identity and specification;
packaging integrity;
visible damage;
batch or lot information;
expiry date; and
other agreed acceptance requirements.
Visible shortages, damage or discrepancies should be recorded on the delivery documentation where practicable and reported to AGL Medicals promptly.
Signing a delivery note does not remove statutory rights relating to latent defects, unsafe goods or other rights that cannot lawfully be excluded.
Returns are subject to the nature and condition of the product and applicable law.
Products generally must remain unused and, where applicable, unopened and in their original packaging to qualify for a discretionary return.
For safety and hygiene reasons, restrictions may apply to returns of sterile, opened, temperature-sensitive, hygiene-sensitive, customised or specially procured products.
Such restrictions do not remove statutory rights concerning products that are defective, unsafe, misdescribed or otherwise non-conforming.
Customers should contact AGL Medicals before returning any product.
Where expiry dates apply, AGL Medicals will take reasonable steps to supply products with appropriate remaining shelf life having regard to the product, availability and agreed procurement requirements.
Institutional customers requiring a specific minimum remaining shelf life must state that requirement before confirming the order.
Where a third-party manufacturer provides a product warranty, the applicable warranty will ordinarily be subject to that manufacturer's terms.
AGL Medicals will provide reasonable assistance in communicating a legitimate warranty claim where appropriate.
Nothing in this provision removes any responsibility or statutory obligation that applies directly to AGL as the supplier.
Products must be stored, handled, installed and used in accordance with applicable manufacturer instructions, regulatory requirements and professional standards.
Products requiring professional operation or clinical use should only be used by appropriately qualified or authorised persons.
AGL Medicals does not provide medical diagnosis or treatment merely by supplying a medical product and does not guarantee a particular clinical outcome.
Where AGL Medicals becomes aware of a material manufacturer recall, regulatory safety notice or comparable issue affecting a product supplied by it, reasonable steps will be taken to communicate relevant information to affected customers where transaction records permit.
Customers are expected to cooperate with reasonable recall, quarantine, return or corrective-action instructions.
Government, hospital, NGO, corporate and other institutional procurement may be subject to purchase orders, tender conditions, inspection requirements, delivery schedules, performance requirements or other contractual documentation.
Such requirements apply only to the extent expressly accepted by AGL Medicals.
Where institutional terms conflict with these Supply Terms, the specifically negotiated and accepted institutional agreement will prevail for that transaction.
Orders for standard stock may be cancelled subject to the stage of processing and applicable law.
Specially sourced, customised, imported or manufacturer-committed orders may incur reasonable cancellation costs where AGL Medicals has already incurred non-recoverable expenses or binding third-party commitments.
Any applicable cancellation terms will be communicated as appropriate.
Nothing in these Supply Terms excludes or limits rights or liabilities that cannot lawfully be excluded under applicable Nigerian law.
AGL Medicals remains responsible for its own obligations as a supplier.
Subject to applicable law, AGL Medicals is not responsible for losses arising solely from misuse, improper storage, unauthorised alteration, use contrary to manufacturer instructions, inaccurate specifications supplied by the customer or circumstances outside AGL's reasonable control.
AGL Medicals will not be considered in breach for delays or failures caused by events outside its reasonable control, subject to rights and obligations that applicable law does not permit to be excluded.
These Supply Terms should be read together with the Accelerators Global Ltd Terms & Conditions and Privacy Policy.
Where a signed supply agreement, accepted tender contract or other transaction-specific agreement contains different expressly negotiated provisions, that agreement will govern the relevant transaction.
These terms are governed by the laws of the Federal Republic of Nigeria.
